TERMS OF USE FOR SHIMADZU ID SERVICE

Article 1 (Application of Terms of Use)

  1. These Terms of Use apply to all relationships between users of SHIMADZU ID (as defined in Article 2) and the Company (as defined in Article 2).
  2. The Company and Groups may separately establish terms that stipulate specific usage conditions and other regulations (“Related Terms”) for individual Services (as defined in Article 2). Customers who use the Services shall comply with the provisions of the Related Terms in addition to these Terms of Use. In the event of any inconsistency between the provisions of these Terms of Use and the Related Terms, the provisions of the Related Terms shall take precedence.

Article 2 (Definitions)

The terms used in these Terms of Use shall have the meanings set forth in the following items:

  1. “Member” refers to a person who has registered for the use of SHIMADZU ID in accordance with Article 4 of this Terms of Use.
  2. “Personal Information” refers to information about a living individual that can be used to identify the specific individual by name, e-mail address, or other description contained in the information (including information that can be easily cross-checked with other information to identify a specific individual).
  3. “SHIMADZU ID” is a customer ID issued by the Company in accordance with these Terms of Use for customers to use the Services under a common ID.
  4. “Shimadzu Group Companies” refers to the Company’s subsidiaries, affiliates, and other related companies.
  5. “Company” refers to Shimadzu Corporation.
  6. “Company and Groups” refers to the Company and Shimadzu Group Companies collectively.
  7. “Terms of Use and Other Terms” refers to these Terms of Use and the Related Terms collectively.
  8. “Services” refers to various services provided by the Company and Groups to customers that can be used with SHIMADZU ID and other services related to SHIMADZU ID issued and coordinated by the Company collectively.(See Appendix of Scope of the Services)

Article 3 (Issuance and Coordination of SHIMADZU ID)

  1. The Company shall issue a SHIMADZU ID to every Member that can log in to the Services in accordance with these Terms of Use.
  2. A Member may use the Services through authentication using a SHIMADZU ID in accordance with the method prescribed by the Company.
  3. The Company may add, change, or reduce the scope of the Services (See Appendix of Scope of the Services), in whole or in part, without any Member’s consent.

Article 4 (Registration)

  1. To use a SHIMADZU ID, the individual must become a Member as described in the next paragraph. Additionally, apart from this registration, the individual may be required to register specifically for the Services to use them.
  2. An individual who wishes to become a Member shall register for a SHIMADZU ID by entering their name, e-mail address, and other information specified by the Company (“Registered Information”) in the manner prescribed by the Company and shall be issued a SHIMADZU ID.
  3. Members (including those who wish to become members; the same shall apply hereinafter in this Article) shall enter true and accurate information during registration and shall change the Registered Information as necessary after registration to ensure that it is kept up to date.
  4. Members are deemed to have agreed to the contents of these Terms of Use upon completion of the application for registration as stipulated in Paragraph 2.
  5. If a Member falls under any of the following items, the Company may suspend the use of the Services by the Member concerned.
     
    1. The Member does not exist.
    2. The application is made using a pseudonym, the name of another person, or a stolen name.
    3. Falsehood, inaccuracy, misdescription, or omission in the application.
    4. The Member falls under the category of antisocial forces or is related to antisocial forces.
    5. The Member does not agree with the contents of these Terms of Use.
    6. The Member violates the provisions of these Terms of Use and Other Terms.
    7. The Company deems the Member to be an inappropriate member.

Article 5 (Change of Registered Information)

  1. If there are any changes in the Registered Information, the Member shall promptly notify the Company of the changed information in accordance with the method prescribed by the Company.
  2. If a Member suffers a loss as a result of failing to provide the notification of the preceding paragraph to the Company, the Company shall not be liable for the loss.

Article 6 (Handling of Personal Information)

The Company shall handle Registered Information, information obtained through the Services (see the individual terms of the Services for details), browsing information on the websites described in the Appendix of Scope of the Services, and the information analyzed based on such obtained information (“Personal Information of Members”) in an appropriate manner in accordance with these Terms of Use and the Company’s Privacy Policy, as well as personal information protection laws and other related laws and regulations of the respective countries.

Article 7 (Purposes of Use of Personal Information)

The Company will use the Personal Information of Members within the scope of the Company’s Privacy Policy and the purposes of use set forth below, after obtaining the consent of the Members and taking other procedures as necessary in accordance with the personal information protection laws and other related laws and regulations of the respective countries.

  1. For the operation and provision of the Services (See the Related Terms specified in the Services for details.)
  2. To respond to inquiries about products and services handled by the Company and Groups (including the Services; the same applies hereinafter)
  3. To provide information on products, services, and various events and promotions handled by the Company and Groups
  4. To create, provide, or sell statistical information on the usage of the Services
  5. To prevent unauthorized use of the Services
  6. To improve, upgrade, and enhance the quality of the Services
  7. To classify and analyze interests and concerns of Members by using the Personal Information of Members such as browsing history and purchase history, and to use it for other purposes stipulated in the Company’s Privacy Policy and this Article

Article 8 (Joint Use of Personal Information)

For the purposes set forth in the Company’s Privacy Policy and these Terms of Use, the Company may share with its subsidiaries (including subsidiaries located outside Japan) and agents in charge of Members (“Shared Partners”) the Member’s name, address, e-mail address, telephone number, signature, name of the group or organization to be contacted, business meeting and transaction history, contents of inquiries, information on whether direct mail and other forms of communication can be sent, exhibitions and seminars in which the Member has participated, information on equipment used, browsing history on the Company and its subsidiaries’ websites, unique identifiers, industries, and job titles. In such cases, the Company shall be responsible for the management of such personal information, and the Company’s address and the name of its representative(s) shall be as described in the Company’s Privacy Policy.

Article 9 (Contact Regarding Personal Information)

Apart from the methods set forth in the Company’s Privacy Policy, Members may exercise their rights of access, correction, deletion, request for processing restrictions, and other rights they have regarding their personal information held by the Company through the inquiry form below.

Article 10 (Management Responsibility of SHIMADZU ID)

  1. Members shall use and manage their SHIMADZU ID, password, and specific account for the Services (“SHIMADZU ID and Other Data”) at their own risk, and the Company shall not be liable for any damage caused by misuse or unauthorized use by a third party.
  2. Members shall not disclose, transfer, sell or lend, or otherwise allow a third party to use their SHIMADZU ID and Other Data.

Article 11 (Copyrights and Other Rights)

  1. Intellectual property rights such as copyrights, trademark rights, and design rights for text, images, photos, audio, video, and information provided through the Services (“Texts”) belong to the Company and other legitimate authorities. Members may not use the copyrighted materials obtained through the Services beyond the scope explicitly permitted by the Company and the scope of private use permitted by the Copyright Act.
  2. The copyrights (including the rights set forth in Article 27 and Article 28 of the Copyright Act) and all other rights related to suggestions, impressions, and other opinions regarding the Services sent to the Company (“Proposals”) shall belong to the Company. Any person who makes Proposals to the Company shall not exercise their moral rights for such Proposals.

Article 12 (Prohibited Matters)

Members shall not engage in the following acts when using the Services:

  1. Illegally obtaining or using another person’s SHIMADZU ID and Other Data
  2. Copying, altering, publicly transmitting (including making transmissible), distributing, transferring, lending, translating or adapting, or any other act that infringes the intellectual property rights of the Company and Groups or a person with legitimate authority
  3. Infringement on the property, rights, or privacy of the Company and Groups or any third party
  4. Defamation of reputation or trust of the Company and Groups or any third party
  5. Transmitting or writing harmful computer programs
  6. Violation of regulations of the domestic or international network when communicating via domestic or international networks
  7. Interfering with or potentially interfering with the operation of the Services
  8. Use of the Services for illegal or commercial purposes
  9. Violation of laws or public order and morals
  10. Violation of the provisions of the Terms of Use and Other Terms
  11. Other acts that the Company and Groups deem inappropriate

Article 13 (Prohibition of Assignment of Rights)

Members may not transfer the right to use the Services to a third party nor use said right as collateral.

Article 14 (Contact Method)

Inquiries, consultations, and other forms of contact or notification by Members to the Company regarding the Services and contact or notification by the Company to Members shall be made in the manner prescribed by the Company.

Article 15 (Resignation)

Members may cancel their SHIMADZU ID registration (resignation) at any time by requesting the Company to do so in accordance with the method prescribed by the Company. Resignation from the Services may be subject to separate resignation procedures in accordance with the Related Terms.

Article 16 (Cancellation of Registration)

If the Company determines that a Member falls under any of the following items, the Company may temporarily suspend the use of the Services by the Member without prior notice to the member, or cancel the registration.

  1. The Member does not exist.
  2. The registration is made using a pseudonym, the name of another person, or a stolen name.
  3. Falsehood, inaccuracy, misdescription, or omission in the registration.
  4. The Registered Information is deleted upon the request of the Member.
  5. The Member has not logged in using their SHIMADZU ID for more than six months.
  6. The Member falls under the category of antisocial forces or is related to antisocial forces.
  7. The Member does not agree with the contents of the Terms of Use and Other Terms.
  8. The Member violates the provision of the Terms of Use and Other Terms.
  9. The Company deems the Member to be an inappropriate member.

Article 17 (Effect of Resignation and Cancellation of Registration)

  1. If a Member resigns their SHIMADZU ID or cancels their registration, the Member will not be able to use all Services unless otherwise specified by the Company. However, depending on the timing of resignation or cancellation of registration, there may be a delay in the termination of the distribution of email newsletters or direct mail delivery.
  2. The Company deletes the Personal Information of Members obtained through the Services upon a Member’s resignation from SHIMADZU ID or cancellation of registration. However, the Company may use the information provided by the Member other than personal information (including anonymously processed information) for statistical purposes.
  3. The Company may keep access logs for 18 months after a Member resigns from SHIMADZU ID or cancels their registration and use said logs to investigate illegal usage. All information will be deleted after 18 months.

Article 18 (Suspension of the Services)

The Company may temporarily suspend the provision of the Services without prior notice to Members if any of the following events occur:

  1. Regular or emergency maintenance of the system related to the Services.
  2. The provision of the Services becomes impossible due to a fire, power failure, etc.
  3. The provision of the Services becomes impossible due to a natural disaster such as an earthquake, eruption, flood, or tsunami.
  4. The provision of the Services becomes unavailable due to war, riots, disturbance, labor disputes, etc.
  5. The communication service is suspended, or communication failure occurs due to the operating environment of the terminal or other circumstances.
  6. The Company deems it necessary to temporarily suspend the provision of the Services for other operational or technical reasons.

Article 19 (Modification or Abolition of the Services)

  1. The Company and Groups may add, modify, or abolish (“Abolitions”) all or part of the contents of the Services without obtaining the prior consent of the Members.
  2. The Company and Groups shall not be liable for any damages incurred by Members due to the Abolitions of the preceding paragraph.

Article 20 (Modification of these Terms of Use)

  1. The Company may change the contents of these Terms of Use by notifying Members of the changes through postings on this website or other methods deemed appropriate by the Company.
  2. If a modification is to be made to these Terms of Use, the effective date and content of the revised Terms of Use shall be made known to Members by posting on this website, and the modification shall take effect on the effective date.
  3. Members shall be deemed to have agreed to the revised Terms of Use when they use the Services after the effective date of the modification to these Terms of Use. However, if a modification to the content requires the consent of the Members under the laws, the Company shall obtain the consent of the Members in the prescribed manner.

Article 21 (Compensation for Damages)

If a member damages or threatens to damage the Company due to an act in violation of these Terms of Use and Other Terms, or due to a fraudulent or illegal act, the Company shall be entitled to demand that the Member cease from such act and compensate the Company for any damage incurred.

Article 22 (Disclaimer)

  1. The Company makes no guarantees whatsoever regarding the suitability, usefulness, accuracy, and completeness of the Services for any particular purpose.
  2. The Company shall not be liable for any damages arising from the use or inability to use the Services by Members.
  3. The Company shall not be liable for any damages incurred by Members due to the following reasons:
     
    1. Unauthorized access by a third party or unauthorized acts such as the introduction of a computer virus, despite the Company’s reasonable security measures
    2. Interruption, delay, incapability, or loss of data in the Services due to a failure of a communication line, system, or server
    3. Errors or omissions in the text provided by Shimadzu Group Companies
  4. The Company shall not be responsible for any disputes between Members and third parties (including but not limited to other Members and Shimadzu Group Companies).

Article 23 (Governing Law and Jurisdiction)

These Terms of Use shall be governed by and construed in accordance with the laws of Japan. Any disputes arising between a Member and the Company related to these Terms of Use and Other Terms or the Services shall be subject to the exclusive jurisdiction of the district court having jurisdiction over the Company’s head office in the first instance.
